Welcome to Storage AI. These Terms of Service ("Terms") govern your access to and use of our AI-powered warehouse inventory management platform, including our website at storage-ai.com, web application, mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using Storage AI, you agree to be bound by these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

Storage AI is an AI-powered warehouse inventory management platform that provides:

• Multi-Modal Search: Search inventory using text, voice commands, image recognition, or barcode scanning
• AI Analytics: Automated insights, sales forecasting, and trend analysis
• Smart Alerts: Notifications for low stock, expiring items, and demand spikes
• AI Recommendations: Intelligent suggestions for inventory optimization
• Report Generation: Export data in PDF, Excel, and CSV formats
• Team Collaboration: Multi-user access with role-based permissions

3. Account Registration

3.1 Account Creation

To use Storage AI, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Requirements

• You must be at least 18 years old to create an account
• You must provide a valid email address
• You must not create multiple accounts for the same organization without authorization
• You are responsible for notifying us immediately of any unauthorized access

3.3 Team Accounts

If you invite team members to your account, you are responsible for their compliance with these Terms. The account administrator controls access permissions and is responsible for managing team membership.

4. Subscription Plans and Billing

4.1 Free Trial

We offer a 7-day free trial of our Professional plan. No credit card is required to start your trial. At the end of the trial period, you may choose to subscribe to a paid plan or your account will be downgraded to the Starter (free) plan.

• Subscription fees are billed in advance on a monthly or annual basis
• Annual subscriptions receive a 20% discount
• All payments are processed securely through Stripe
• Prices are in USD unless otherwise specified
• You are responsible for any applicable taxes

4.4 Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Upon cancellation, you retain access until the end of your current billing period
• No refunds are provided for partial months or unused periods
• Enterprise customers: Refer to your individual agreement for cancellation terms

5. Acceptable Use

5.1 Your Responsibilities

You agree to use Storage AI only for lawful purposes and in accordance with these Terms. You are responsible for:

• Ensuring the accuracy of data you upload to the Service
• Maintaining the security of your account credentials
• Complying with all applicable laws and regulations
• Respecting the rights of other users and third parties

5.2 Prohibited Activities

You may not:

• Use the Service for any illegal or unauthorized purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Scrape, crawl, or use automated means to access the Service without permission
• Resell, sublicense, or redistribute the Service without authorization

6. Your Data

You retain all ownership rights to the inventory data, images, and other content you upload to Storage AI ("Your Data"). We do not claim any ownership of Your Data.

6.2 License to Storage AI

By uploading Your Data, you grant Storage AI a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service. This includes using AI to analyze your inventory for search, analytics, and recommendations.

6.3 Data Portability

You may export Your Data at any time in common formats (PDF, Excel, CSV) using our built-in export features. Upon account deletion, you will have 30 days to export Your Data.

6.4 Data Security

We implement industry-standard security measures to protect Your Data. Please review our Privacy Policy for detailed information about our data handling practices.

7. Intellectual Property

7.1 Our Intellectual Property

Storage AI and its licensors retain all rights to the Service, including all software, algorithms, AI models, designs, trademarks, and other intellectual property. These Terms do not grant you any rights to use our trademarks or branding.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to you, and you hereby assign all rights to such feedback to Storage AI.

8. AI-Powered Features

8.1 AI Services

Storage AI uses artificial intelligence to provide search, analytics, and recommendation features. While we strive for accuracy, AI-generated results may not always be perfect. You should verify important decisions based on AI recommendations.

8.2 Limitations

• AI analytics and forecasts are based on your historical data and may not account for all factors
• Image and voice recognition may have accuracy limitations
• AI recommendations are suggestions and should not replace professional judgment
• We continuously improve our AI models but cannot guarantee specific accuracy levels

9. Service Level Agreement

We commit to maintaining high availability for our Service:

• Uptime Guarantee: 99.9% monthly uptime for Professional and Enterprise plans
• Scheduled Maintenance: We will provide advance notice for planned maintenance
• Daily Backups: Automatic daily backups of all customer data
• Support Response: Email support within 24 hours; priority support for Professional and Enterprise

10. Third-Party Services

Storage AI integrates with third-party services including Firebase, Stripe, and Vectorize.io. Your use of these services is subject to their respective terms. We are not responsible for the availability, accuracy, or practices of third-party services.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY OF AI-GENERATED ANALYTICS, FORECASTS, OR RECOMMENDATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORAGE AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Storage AI and its affiliates from any claims, damages, losses, or expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) Your Data.

14. Termination

14.1 Termination by You

You may close your account at any time through your account settings or by contacting support.

14.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if we reasonably believe your use poses a security risk. We will provide notice when possible.

14.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. You will have 30 days to export Your Data before it is deleted. Sections of these Terms that should survive termination will remain in effect.

15. Dispute Resolution

15.1 Informal Resolution

Before filing any legal claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

15.2 Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

15.3 Jurisdiction

Any disputes not resolved informally will be resolved exclusively in the state or federal courts located in Delaware.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a prominent notice on the Service at least 30 days before they take effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Storage AI.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
